Vendor Agreement

Introduction

This Vendor Agreement outlines the terms and conditions that govern your participation on the Persinna Market platform. By using the platform, you agree to comply with these terms and any future updates. Continued use after changes means acceptance of the revised terms.

About Persinna

Persinna Market is a social marketplace where users can buy and sell various products. We provide guidance on pricing, shipping, and sourcing; however, all final decisions rest with you. While we assist in dispute resolution, we do not guarantee product quality, safety, or transaction success.

Definitions

“Marketplace (Market)” or “Platform”refers to the online marketplace available at persinna.com, including all its associated features, services, and content, such as applications, third-party integrations, and related services.
“Users”refers to all individuals who access or use the platform, including both vendors (any third-party seller or supplier offering products or services on the platform) and customers (individuals who browse, purchase, or interact with the platform in any way).
“Content” refers to the textual, visual, or audio materials encountered on Persinna Market’s platform. This includes text, images, audio, videos, animations, advertising materials, and any other product or service-related content posted by vendors.
“Post”means placing any form of content or material on Persinna Market’s platform.
“Product” denotes any item, whether physical goods or downloads, offered for sale by vendors on Persinna Market.
“Service”encompasses all services available on Persinna Market’s platform, whether they are free or charged for.

Our Contract

By placing a product for sale on our platform, you agree to these terms. We act as an arm’s length contractor, providing you with an online marketplace for a mark-up fee. To be eligible as a vendor on Persinna, your business must be legal.

We collect payment from your buyers on your behalf. We are not partners or joint ventures. If a valid complaint is made against you, we may remove your products from offer. We reserve the right to change this agreement at any time.

Vendor Responsibilities

As a vendor on the Platform, you are responsible for: Creating accurate and detailed product listings, Ensuring that all products sold comply with local laws and regulations, Ensuring reliable shipping and delivery timelines, Maintaining clear and professional communication with customers, including responding to inquiries in a timely manner, and Relaying any requests from customers and facilitating the resolution process in accordance with platform terms.

Prohibited Products

You may not sell products that are illegal, counterfeit, or violate any local laws. Examples include weapons, drugs, and offensive materials. Persinna reserves the right to remove any violating listings. Additionally, You may not sell products that are of poor quality or require technical expertise without fully explaining it to the customer. We reserve the right to remove any listings that violate these guidelines.

Product Listings and Content

When adding a product, you must provide all necessary information, including the price, photos, appropriate categories, a product specification, a detailed product description, and any other requests from the marketplace.

Product Photos: Each product must include at least two clear images taken from different angles. The photos should accurately represent the product’s physical appearance to give customers a true sense of its look and feel.

Designs: Vendors can create and showcase graphic designs for free or sell them through the marketplace’s product customizer, enabling customers to personalize products with unique artwork.

Design Usage: Any design submitted to the marketplace can be freely used by users as they wish. However, if a design has a price and is applied to a different product or another vendor’s product for an order, the design fee will be charged to the user and paid to the author. Persinna Market ensures that all design payments are collected and delivered to the designer/vendor unless the design is offered for free.

Quality Check: When adding a product or editing a live one, each product must go through the platform’s quality check to ensure it is posted at the highest quality and everything is in order. The vendor must also ensure that all content uploaded to the platform does not infringe on any copyrights, trademarks, or other intellectual property rights.

Intellectual Property Infringement

You acknowledge and agree that it is your responsibility to ensure that your products(designs) do not infringe on any third-party intellectual property rights, such as trademarks or copyrights. In the event of an infringement claim, you will promptly address the issue and cooperate with Persinna to resolve the matter. Repeated violations may result in the removal of your products and termination of your vendor account.

Your Product Warranties

You warrant that any product you place for sale on our platform is legal, not offensive, does not infringe on any third-party rights, that the product specifications are accurate, and that any advertising related to the product is not false or misleading. You also warrant that you own the copyright of any content you post and have the permission to enter and upload that content. You accept responsibility for any breach of intellectual property rights or laws that may arise from your content.

Order and Delivery

Order Delivery: Repeated failure to deliver products as agreed upon may result in the removal of your account and products from Persinna Market. Order Collection and Delivery must be done through Persinna or an authorized party. If a buyer receives a faulty or incorrect item, you must work with them or Persinna to resolve the issue according to our user terms and conditions. Returns, cancellations, and other terms will be defined in our user agreement.

Uncollected Orders: If a customer fails to collect their order for any reason, the parcel will be returned to the Market warehouse, where it will await pickup by either the customer or vendor.

Shopfront Management

Shop Management: Vendors are are expected to maintain their shops in accordance with market standards and follow any guidelines set by the market for shop management.

Minimum Sales Requirement: Vendors can create their own shopfronts for free. However, they must consistently meet the minimum weekly sales quota set by the market. The quota is determined based on the market’s measurement standards, and the market reserves the right to adjust it as needed.

Inactive Shop Policy: Shops that remain inactive for more than 30 days will be removed from the platform. Additionally, any product that has been out of stock for more than 2 weeks will also be removed.

Withdrawing Funds: Vendors should familiarize themselves with our withdrawal rules before requesting any withdrawals. Payments can only be withdrawn after 48 hours from the delivery of an order, allowing customers time to raise any complaints. Once the 48-hour period has passed, your withdrawal request will be processed, and funds will be transferred to you within 2 working days.

Reviews/Comments Management: Vendors have the right to view reviews and comments left by customers but cannot edit or remove them. They will only be removed if they are deemed offensive, false, or if there is a failure on the market’s side that caused a negative review or comment.

Advertising Your Product

If you choose to advertise your product through Persinna, certain conditions apply. We may use the services of a specialist internet marketing business associated with Persinna. You may not contract with any other person or company for similar services without our consent. The price charged to you includes all payments made to others. We do not guarantee the success of any advertising placed, but we may promote your products on our social media platforms.

Our Commission and Payment to You

Commission: Joining Persinna Market as a seller is completely free, with no charges for listing items for sale. However, when a product is sold, a commission fee and transaction charges will be deducted from the total sale price. These fees apply to each individual item sold.

➢ For items priced up to 36,000 ETB = 5% + 100 ETB

A commission fee of 2.5% of the item’s price, plus a fixed charge of 100 ETB, will be applied to all items priced up to 36,000 ETB. In addition to this, a separate transaction charge of 2.5% will also be incurred.

➢ For items priced above 36,000 ETB = 2.5% + 1000 ETB

For items priced above 36,000 ETB, a fixed commission fee of 1,000 ETB will be applied, regardless of the item’s price. In addition, a separate transaction fee of 2.5% of the item’s value will also be charged.

These charges are implemented to cover processing and service costs associated with each transaction. Commission covers platform service fees and other operational costs, while Transaction Charges cover payment processing fees. After deducting the Commission, Transaction Charges, and any applicable expenses (such as VAT), the remaining amount will be transferred to you within 2 working days of your withdrawal request.

Value Added Tax (VAT)
: All prices listed on Persinna Market must include a 15% VAT, calculated on the total sale price before any deductions, in accordance with Ethiopian tax law. Certain goods and services, such as basic food items, agricultural inputs, and medical supplies, may be exempt from VAT. Vendors are responsible for ensuring their products comply with Ethiopian VAT regulations and must inform the marketplace if their products qualify for an exemption so that VAT is not applied by the platform.

Payment Withdrawal:
Payments to vendors will only be processed 48 hours after the order has been delivered. This grace period allows customers time to raise any disputes or complaints. You will receive payments for sales only after any applicable customer complaints or disputes are resolved. The Platform retains the right to withhold payments in cases where complaints or disputes are pending.

Privacy and Date Protection

As a vendor on Persinna Market, you are responsible for the collection, storage, and protection of customer data. You must comply with all applicable data protection laws and regulations. Persinna will not be held liable for any unauthorized access or misuse of customer data resulting from your actions or negligence.

The Platform adheres to strict privacy policies to protect the personal information of users. As a vendor, you are also responsible for ensuring the confidentiality and security of customer data. You may only use customer data for purposes directly related to the fulfillment of orders placed on the Platform. Unauthorized use of customer data may result in penalties or termination of your vendor account.

Customer Communication

You agree to communicate with customers promptly and professionally. You must resolve any disputes or complaints according to the Platform’s policies and procedures. You are responsible for maintaining a positive and transparent relationship with your customers.

If a customer raises a concern regarding the product or service, you must work with them to address and resolve the issue efficiently. This includes relaying any return, exchange, or refund requests from customers to the marketplace and facilitating the resolution process in accordance with platform terms. If a dispute cannot be resolved, Persinna Market will provide mediation services.

Termination of Vendor Account

Persinna Market reserves the right to terminate your vendor account if you engage in repeated policy violations, fraudulent activities, fail to meet quality standards, or consistently failing to fulfill customer orders. Termination may result in the removal of your products and the suspension of your access to Persinna Market. You have the right to appeal a termination decision by contacting our support team.

Suspicious Activity Reporting

You are responsible for reporting any suspicious or fraudulent activity to Persinna Market immediately. This includes, but is not limited to, unusual purchasing behavior, fraudulent payment methods, or activities that may pose a risk to the safety and security of the Platform and its users.

Vendors are expected to maintain vigilance and report any suspicious activity to the Platform’s support team. Failure to do so may result in your account being suspended or terminated.

Indemnification

You agree to indemnify and hold Persinna Market and its affiliates, directors, officers, employees, and agents harmless from any claims, damages, or losses arising from your products, actions, or conduct on the platform. This includes but is not limited to intellectual property infringement, violation of laws or regulations, and customer disputes. You will bear all costs associated with such claims, including legal fees.

Intellectual Property Rights

All content on the Persinna Market platform, including logos, graphics, and text, is protected by international copyright laws. You may not copy, modify, publish, or exploit any content without the written consent of Persinna Market. If you wish to use Persinna Market’s logos or graphics, please contact us to obtain permission.

Interruption to the Service

While we strive to provide uninterrupted service, there may be instances where Persinna Market needs to suspend or interrupt the platform for repairs, maintenance, or other reasons. We will make reasonable efforts to notify vendors in advance; however, we are not liable for any losses or damages resulting from such interruptions that are beyond our control.

Trading on Persinna Market and Limitation of Liability

You acknowledge that there are inherent risks associated with trading online, and Persinna Market cannot guarantee the success or profitability of your business. We are not liable for any losses, damages, or liabilities incurred while using our platform or as a result of any transactions conducted on Persinna Market.

The Platform will not be responsible for issues outside of its control, including delivery problems or disputes related to the quality of the products.

VAT Compliance Guidelines

For Vendors with Business License:

Tax Compliance: As a vendor with a valid business license, it is your responsibility to understand and adhere to all relevant tax laws and regulations, including Value Added Tax (VAT).

VAT Obligations: You must be aware that you are required to charge VAT on applicable products or services sold through the marketplace, in accordance with the current tax laws in Ethiopia.

VAT Collection and Remittance: It is your duty to accurately calculate, collect, and timely remit the VAT to the appropriate tax authorities, following the applicable laws and regulations. The total sales amount, including VAT, will be displayed in your Shop Manager’s order list and order details. When you request a withdrawal, the VAT amount will also be transferred to you, making it your responsibility to remit it to the tax authorities.

Reporting and Documentation: As a vendor with a business license, you must maintain accurate records and documentation related to your VAT obligations. This includes sales invoices, VAT invoices, and any other necessary documentation as required by the tax authorities.

For Vendors without Business License:

Tax Responsibility: If you do not possess a valid business license, you still have the responsibility to understand and comply with all applicable tax laws and regulations, including VAT.

VAT Threshold: It is important for you to monitor your sales and ensure compliance with VAT registration requirements. Once your sales exceed the specified threshold, you should obtain a business license and register for VAT, as per the current tax laws in Ethiopia.

VAT Collection and Remittance: If you don’t have a business license, the marketplace will deduct and collect VAT before distributing the payment to you. This VAT will be included in the admin fees, so in your Shop Manager’s order list and details, you will only see the final amount after VAT has been deducted.

Reporting and Documentation: For vendors without a business license, the marketplace will maintain an accurate and separate records and documentation related to your sales, including any VAT-related information, as may be required by the tax authorities.

Changes to the Agreement

Persinna Market reserves the right to modify or update this Agreement at any time. Vendors will be notified of changes, and continued use of the Platform after such changes constitutes your acceptance of the updated terms.
